Welcome to Prime Systems Lab ("Company", "we", "our", or "us"). These Terms of Service govern your access to and commercial use of our Generative Engine Optimization (GEO) platform, entity graph engineering services, and digital diagnostic software accessible via https://www.primesystemslab.com/.

1. Services & Commercial Deliverables

Prime Systems Lab provides enterprise-tier search visibility intelligence, including but not limited to:

• Real-Time AI Audits: Automated structural, entity-graph, and schema parsing to evaluate citation readiness across ChatGPT, Perplexity, Claude, and Google SGE.
• Commercial GEO Packages: Structured engineering engagements ("Diagnostic Audit", "Citation Engineering", "Enterprise Citadel") focused on LLM brand grounding and high-ticket pipeline acquisition.
• Entity Modeling & Knowledge Graph Deployments: JSON-LD, RDF semantic schemas, and vector alignment consulting.

2. Client Representations & Authorized Domain Auditing

When submitting a website URL or repository to our platform, you warrant that:

• You are the registered domain owner, authorized officer, or designated agent with legal authority to inspect the submitted domain.
• Your submission does not violate third-party rights, confidentiality covenants, or statutory laws.
• You will not reverse-engineer, decompile, or launch Denial-of-Service attacks against our crawler nodes or API endpoints.

3. Billing, Payments & Subscriptions

All commercial transactions are processed through our authorized payment infrastructure (Stripe):

• Pricing & Currencies: Packages are denominated in USD ($) or EUR (€) as selected at checkout. All prices are exclusive of statutory taxes where applicable.
• One-Time vs. Monthly Retainers: One-time diagnostic audits are billed immediately. Growth and Enterprise retainers are billed monthly in advance and renew automatically until canceled in writing.
• Refund Policy: Due to the proprietary, labor-intensive nature of real-time server audits and custom knowledge graph construction, completed audit deliverables are non-refundable once telemetry reports have been transmitted.

4. Intellectual Property Rights

All proprietary algorithms, prompt evaluation probes, website layout code, vector projection calculators, and trademarks displayed on this platform are the exclusive intellectual property of Prime Systems Lab. Upon full settlement of invoice fees, clients are granted a perpetual, non-exclusive license to utilize the customized Schema.org schemas and audit reports engineered specifically for their corporate domain.

5. Search Engine & LLM Algorithm Disclaimers

Generative AI models and LLMs (including those operated by OpenAI, Perplexity AI, Anthropic, Google, and Microsoft) periodically update their weights, context windows, and retrieval parameters. While Prime Systems Lab engineers systems to adhere to the highest standards of semantic grounding, authoritative citing, and E-E-A-T criteria, we do not control third-party LLM providers and cannot guarantee perpetual immutable citation rank.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Prime Systems Lab and its directors, contractors, and employees shall not be held liable for any indirect, incidental, punitive, or consequential damages resulting from algorithmic shifts by third-party search engines or temporary network downtime.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of California and applicable federal laws of the United States, without regard to conflicts of law principles. Any legal disputes arising from these Terms shall be resolved through confidential binding arbitration.
